1. INTRODUCTION

These Terms of Service ("Terms") govern your access to and use of the website www.gamedatacore.ai ("Site") and the GameDataCore.AI platform, including all services, features, content, and applications offered by GameDataCore.AI Ltd ("GameDataCore.AI," "we," "our," or "us").

By accessing or using our Site or Platform, you agree to be bound by these Terms. If you are accessing or using our Site or Platform on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" or "your" shall refer to such entity.

If you do not agree with these Terms, you must not access or use our Site or Platform.

2. DEFINITIONS

  • "Account" means a registered account on our Platform.
  • "Content" means all information, data, text, software, graphics, and other materials that we make available through the Site or Platform.
  • "Platform" means our AI-powered game intelligence platform that transforms player sentiment, market trends, and commercial performance data into actionable insights.
  • "User" means any individual who accesses or uses our Site or Platform.
  • "User Data" means any data, information, or content that you upload, submit, or provide to our Platform.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

To access certain features of our Platform, you must create an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update this information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

3.3 Account Sharing

Your account is personal to you or your organisation. You may not share your account credentials with others or allow multiple users to access the Platform through a single account, except as expressly permitted under your subscription plan.

4. SUBSCRIPTION PLANS AND PAYMENT

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Details of our current subscription plans are available on our Site. We reserve the right to modify our subscription plans and pricing at any time.

4.2 Free Tier

We may offer a free tier with limited features. The free tier is provided "as is" with no warranties, and we reserve the right to modify or discontinue the free tier at any time without notice.

4.3 Payment

All payments are processed through Paddle, who acts as the Merchant of Record for all transactions. This means Paddle is the seller of record for your subscription to our Platform. By subscribing to a paid plan, you authorise Paddle to charge the applicable fees using your selected payment method. All payment obligations are non-cancelable, and fees paid are non-refundable, except as expressly stated in these Terms or as required by applicable law.

4.4 Subscription Term and Renewal

Subscriptions are offered on a monthly or annual basis. Your subscription will automatically renew at the end of each subscription period unless you cancel it before the renewal date. You can cancel your subscription at any time through your account settings or by contacting us at support@gamedatacore.ai.

4.5 Taxes

All fees are exclusive of applicable taxes (such as VAT or sales tax), which will be charged in addition to the subscription fees where required by law. As Paddle acts as the Merchant of Record, they are responsible for calculating, collecting, and remitting applicable taxes for your subscription purchases.

4.6 Late Payments

If your payment fails or is late, we may suspend or terminate your access to the Platform. You remain responsible for all fees and charges incurred before the suspension or termination of your account.

5. PLATFORM USE AND RESTRICTIONS

5.1 License to Use the Platform

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sub-licensable license to access and use the Platform for your internal business purposes during the term of your subscription.

5.2 Use Restrictions

You agree not to:

  • Use the Platform in any way that violates any applicable law or regulation
  • Use the Platform to infringe the intellectual property rights of others
  • Attempt to gain unauthorised access to any part of the Platform or its related systems or networks
  • Interfere with or disrupt the integrity or performance of the Platform
  • Copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Platform in any form or by any means
  • Scrape, mine, or harvest data from the Platform except as expressly permitted
  • Sell, resell, license, sublicense, distribute, or otherwise make the Platform available to any third party
  • Modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Platform
  • Remove any copyright, trademark, or other proprietary notices from the Platform
  • Use the Platform to develop a competing product or service
  • Use the Platform to send unsolicited communications, promotions, or advertisements
  • Use the Platform to collect or store personal data about other users without their express consent
  • Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity

6. USER DATA

6.1 Ownership of User Data

You retain all rights to your User Data. By submitting User Data to the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, store, transmit, and display your User Data to the extent necessary to provide and maintain the Platform and as otherwise permitted in our Privacy Policy.

6.2 Responsibility for User Data

You are solely responsible for your User Data and the consequences of submitting it to the Platform. You represent and warrant that:

  • You own or have the necessary rights, licenses, consents, and permissions to use and authorise us to use your User Data as described in these Terms
  • Your User Data will not infringe the intellectual property rights or privacy rights of any third party
  • Your User Data will not violate any applicable law or regulation

6.3 Data Backup

While we use reasonable efforts to preserve and protect User Data, you are responsible for maintaining separate backup copies of your important User Data.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Our Intellectual Property

The Platform, including all content, features, functionality, and user interfaces, is owned by GameDataCore.AI or our licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Feedback

If you provide us with any feedback, suggestions, improvements, enhancements, or feature requests relating to the Platform ("Feedback"), you grant us a perpetual, irrevocable, non-exclusive, royalty-free, fully-paid, sub-licensable, and transferable license to use, reproduce, modify, create derivative works from, distribute, and display the Feedback in any manner and for any purpose.

7.3 Analytics and Aggregated Data

We may collect and analyse data relating to your use of the Platform and may aggregate your User Data with data from other users. We may use this aggregated, anonymised data to improve the Platform and for other business purposes.

8. CONFIDENTIALITY

8.1 Confidential Information

"Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that, given the nature of the information or circumstances surrounding its disclosure, reasonably should be understood to be confidential. Your User Data and our non-public Platform features and technology are Confidential Information.

8.2 Protection of Confidential Information

Each party agrees to:

  • Use the Confidential Information solely for the purpose of performing its obligations under these Terms
  • Protect the Confidential Information with the same degree of care it uses to protect its own confidential information (but no less than reasonable care)
  • Not disclose the Confidential Information to any third party, except as permitted by these Terms or with the prior written consent of the disclosing party

8.3 Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was known to the receiving party before its disclosure
  • Is independently developed by the receiving party without use of the disclosing party's Confidential Information
  • Is rightfully received from a third party without a duty of confidentiality

9. TERM AND TERMINATION

9.1 Term

These Terms will remain in effect until your subscription is terminated or expires.

9.2 Termination by You

You may terminate your subscription at any time by canceling it through your account settings or by contacting us at support@gamedatacore.ai. If you terminate your subscription, you will continue to have access to the Platform until the end of your current billing period, unless otherwise specified.

9.3 Termination by Us

We may terminate or suspend your account and subscription immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

9.4 Effects of Termination

Upon termination:

  • All licenses granted to you under these Terms will terminate
  • You will no longer have access to the Platform
  • Any outstanding payment obligations will become immediately due
  • We may, but are not obligated to, delete your User Data after a reasonable period

9.4.1 Data Export Upon Termination

Upon termination or expiration of your subscription:

  • Data Export: You may request an export of your User Data within 30 days of termination by contacting support@gamedatacore.ai. This export will include:
    • Account information and settings
    • Custom dashboards and saved reports
    • Custom categorizations and feedback provided to the system
  • Export Format and Delivery: Data will be provided in standard formats (CSV, JSON) via secure download link, depending on data volume.
  • Export Processing Time: Exports will be processed within 14 days of request.
  • Post-Export Data Deletion: Following the export and your confirmation of receipt, we will delete your User Data in accordance with our data retention policies, except as required for legal compliance or legitimate business purposes.

We do not provide exports of raw platform data from third-party sources such as Steam, Discord, or Reddit as this data is publicly available from the original sources.

9.5 Survival

The provisions of these Terms that by their nature should survive termination will survive termination, including ownership provisions, warranty disclaimers, indemnity, limitations of liability, and dispute resolution provisions.

10. WARRANTY DISCLAIMERS

10.1 Platform Warranty Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAMEDATACORE.AI DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

GAMEDATACORE.AI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT YOUR USE OF THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

10.2 Content Warranty Disclaimer

GAMEDATACORE.AI DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT AVAILABLE THROUGH THE PLATFORM, INCLUDING SENTIMENT ANALYSIS, MARKET TRENDS, OR COMMERCIAL PERFORMANCE DATA. THE USE OF SUCH CONTENT IS AT YOUR OWN RISK.

10.3 Third-Party Services

The Platform may integrate with or enable access to third-party services. We do not control these third-party services and are not responsible for their content, operations, or practices. Your use of third-party services may be subject to separate terms and conditions.

10.4 Data and Analytics Accuracy

WHILE WE STRIVE TO PROVIDE ACCURATE INFORMATION, YOU ACKNOWLEDGE AND AGREE THAT:

  • Our sentiment analysis and categorization systems provide approximations based on available data and are not guaranteed to be 100% accurate or comprehensive
  • Our Platform is currently in Alpha/MVP phase and features are still being refined and developed
  • Platform data may contain gaps, delays, or inconsistencies due to limitations in our data sources
  • The completeness of our data collection is subject to platform availability, API limitations, and changes in third-party terms of service

You agree to use all analytics, insights, and recommendations as supplementary information rather than as the sole basis for business decisions.

11. LIMITATION OF LIABILITY

11.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GAMEDATACORE.AI OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

11.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GAMEDATACORE.AI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM WILL NOT EXCEED THE AMOUNT YOU PAID TO GAMEDATACORE.AI FOR THE PLATFORM DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11.3 Exclusions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless GameDataCore.AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Platform
  • Your User Data
  • Your violation of these Terms
  • Your violation of any rights of another
  • Your violation of any applicable laws, rules, or regulations

13. DISPUTE RESOLUTION

13.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

13.2 Dispute Resolution

Any dispute arising out of or related to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales. However, you agree that we are still allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

13.3 Informal Dispute Resolution

Before filing a claim, each party agrees to try to resolve the dispute by contacting the other party. If a dispute is not resolved within 30 days of notice, either party may bring a formal proceeding.

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and GameDataCore.AI regarding your use of the Platform and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of GameDataCore.AI.

14.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. We may assign or transfer these Terms, at our sole discretion, without restriction.

14.5 Relationship of the Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and GameDataCore.AI.

14.6 Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemic, terrorism, riots, war, government action, or any other event of force majeure.

14.7 Notices

We may provide notices to you via email, regular mail, or postings on the Site or Platform. You may provide notices to us by emailing legal@gamedatacore.ai.

14.8 No Third-Party Beneficiaries

These Terms do not confer any rights, remedies, or benefits upon any person other than you and GameDataCore.AI.

14.9 Amendments

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will provide notice through the Platform or by other means. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.

15. PLATFORM AVAILABILITY

15.1 Platform Status

Our Platform is currently in an Alpha/MVP (Minimum Viable Product) phase of development. During this phase:

  • We strive to maintain Platform availability but do not guarantee specific uptime percentages
  • Features may be added, modified, or removed as we develop the Platform
  • Performance may vary as we optimize and scale our systems
  • Scheduled and unscheduled maintenance may occur to improve Platform stability

15.2 Maintenance and Outages

For maintenance activities or unexpected outages:

  • We will make reasonable efforts to notify users of significant planned maintenance
  • Notice will be provided via email to the account administrator when possible
  • For unplanned outages, we will work to restore service as quickly as possible

15.3 Force Majeure Events

We are not responsible for failures or delays resulting from circumstances beyond our reasonable control, including but not limited to acts of nature, government actions, or third-party platform failures.

16. THIRD-PARTY PLATFORM TERMS COMPLIANCE

16.1 Data Collection from Third-Party Platforms

Our Platform collects publicly available data from gaming platforms including Steam, Discord, Reddit, and others through our commercial agreement with Twitch for the IGDB API and through public APIs and web scraping where permitted. You acknowledge and agree that:

  • Our data collection constitutes fair use as we transform the data to provide analytics and insights
  • We make no claim to ownership of content created by platforms or their users
  • We may modify our data collection in response to platform policy changes

16.2 User Responsibilities

When using insights from our Platform, you agree to:

  • Comply with the terms of service of any referenced platforms
  • Not use our data in ways that violate third-party platform terms
  • Not represent our data as officially endorsed by the source platforms
  • Respect intellectual property rights of game developers, publishers, and platforms

16.3 Platform Relationship Disclaimer

GameDataCore.AI is not affiliated with, endorsed by, or officially connected with Steam, Valve, Discord, Reddit, or any other gaming platform from which we collect data, except as explicitly stated regarding our commercial agreement with Twitch for the IGDB API. All product names, logos, and brands are property of their respective owners.

17. FUTURE DEVELOPER DATA EXCHANGE PROGRAM

We are developing a Developer Data Exchange ("DDX") program that will allow users to share commercial game data in exchange for subscription discounts and enhanced features. This program is not yet active.

Prior to the launch of this program, we will provide:

  • Detailed terms specific to the program
  • Clear information about data security measures
  • Policies regarding competitive safeguards
  • Opt-in procedures for participation

Participation in this program will be entirely optional. When launched, the program will include robust security measures and strict confidentiality protections for all commercial data shared.

18. CONTENT USAGE AND REPRODUCTION

18.1 Platform Output Usage

Your subscription includes rights to use Platform outputs as follows:

  • Internal Business Use: You may freely use our analytics, visualizations, and reports within your organization for business decision-making
  • Investor Presentations: You may include Platform visualizations and data in pitches and investor materials with proper attribution
  • Strategy Documentation: You may incorporate insights into internal strategy documents
  • Team Communications: You may share Platform outputs within your team
  • External Presentations: You may use Platform insights and visualizations in external presentations, reports, and materials with proper attribution

18.2 Attribution Requirements

When sharing or presenting Platform outputs outside your organization, you must:

  • Clearly attribute GameDataCore.AI as the source
  • Include our logo or text attribution stating "Powered by GameDataCore.AI"
  • Not alter or modify visualizations in ways that could be misleading
  • Not present our data as your own proprietary research

18.3 Publication Restrictions

You may not:

  • Publish complete Platform reports or dashboards publicly without our consent
  • Resell or commercially distribute our data or visualizations as a standalone product
  • Create derivative works that compete with our Platform
  • Share access credentials or outputs with non-subscribers in ways that circumvent subscription fees
